Our engagements range from short exploratory pilots to full production deployments and long-term managed services. Each engagement is scoped through a statement of work or contract that specifies deliverables, timelines, responsibilities, acceptance criteria, and fees. Unless otherwise agreed in writing, Gemnotech's responsibility is to perform the services with reasonable skill and care consistent with industry standards. Clients are responsible for providing access to necessary systems, accurate information, and timely decisions; delays or incomplete client inputs may affect delivery timelines. Any additional services or change requests will be handled through formal change-control and may incur additional charges.
3. Use and Restrictions
When using Gemnotech's website and services you agree to comply with applicable laws and these Terms. You shall not misuse our systems, attempt to reverse-engineer, probe, or otherwise interfere with security or performance, and you must not upload or transmit content that is unlawful, abusive, defamatory, or infringing. Where access credentials are provided, you are responsible for safeguarding them and for all activities conducted under your account. Any suspected unauthorized access or security breach must be reported to Gemnotech immediately. Gemnotech reserves the right to suspend or restrict access for activities that violate these Terms or pose a threat to systems, users, or data integrity, without liability for resulting interruptions.
4. Intellectual Property
All intellectual property rights in Gemnotech's website, platform, pre-existing software, tools, templates, and content remain the property of Gemnotech or its licensors, unless otherwise explicitly assigned in a written agreement. For client engagements, ownership and licensing of deliverables, source code, models, and documentation will be set out in the applicable statement of work or master services agreement: some deliverables may be delivered under a license to the client, while core components, libraries, or third-party materials remain licensed to Gemnotech or their original licensors. Clients agree not to remove any proprietary notices and to respect the licensing terms provided. If open-source or third-party components are used, they will be disclosed where required by their licenses.
5. Disclaimers & Limitation of Liability
To the fullest extent permitted by applicable law, Gemnotech provides services and content "as is" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Gemnotech does not warrant uninterrupted or error-free operation of services. Where a separate contract governs an engagement, the limitations and warranties in that contract shall apply. Except where prohibited by law, Gemnotech's aggregate liability for direct damages arising out of or related to these Terms or any services is limited to the fees paid by the client for the services in question during the twelve months preceding the claim. Gemnotech will not be liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, data, or business interruption. Nothing in this section limits liability for gross negligence or willful misconduct to the extent applicable under law.
6. Termination
Gemnotech may suspend or terminate provision of services, site access, or related accounts where a user or client materially breaches these Terms, violates applicable law, or poses a security risk. Where a service agreement exists, termination rights will also be governed by that contract and may include notice periods, cure opportunities, and defined consequences. Upon termination, obligations that by their nature survive termination (for example, confidentiality, payment obligations, and indemnities) will continue. Gemnotech may retain certain records or data for legal, tax, or operational reasons and will follow applicable data retention and deletion practices; clients should make arrangements to export or back up their data as required prior to termination when allowed by contract and law.
7. Governing Law
These Terms of Service are governed by the laws applicable to Gemnotech SRL. Unless a separate agreement specifies an alternative forum or dispute resolution mechanism, disputes arising under or related to these Terms will be resolved in the competent courts indicated by applicable law. Parties agree to attempt good-faith resolution of disputes prior to initiating formal proceedings, and where appropriate, may engage in mediation or arbitration if mutually agreed. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
