5. Disclaimers & Limitation of Liability

6. Termination

Where a service agreement exists, termination rights will also be governed by that contract and may include notice periods, cure opportunities, and defined consequences. Upon termination, obligations that by their nature survive termination (for example, confidentiality, payment obligations, and indemnities) will continue. Gemnotech may retain certain records or data for legal, tax, or operational reasons and will follow applicable data retention and deletion practices; clients should make arrangements to export or back up their data as required prior to termination when allowed by contract and law.

Unless a separate agreement specifies an alternative forum or dispute resolution mechanism, disputes arising under or related to these Terms will be resolved in the competent courts indicated by applicable law. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
